1. Agreement to Terms

By using our website (chementor.in) or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, along with our Privacy Policy and Refund Policy.

2. Services Description

CheMentor Digital Solutions provides custom web application development services, including but not limited to:

• Business web applications (CRM, ERP, admin panels)
• Educational technology systems (LMS, student portals, testing platforms)
• E-commerce and booking systems
• AI-powered tools and integrations
• Website design and development
• Maintenance and support services

3. Service Engagement

3.1 Project Estimates

All project estimates and quotations are valid for 30 days from the date of issue. Estimates are based on the information provided at the time of quotation and may be subject to change if project requirements are modified.

3.2 Project Scope

A detailed project scope document will be provided and must be approved by both parties before work commences. Any changes to the approved scope may result in additional charges and timeline adjustments.

3.3 Client Responsibilities

Clients are responsible for:

• Providing accurate and complete project requirements
• Supplying necessary content, images, and materials in a timely manner
• Providing timely feedback and approvals
• Maintaining communication throughout the project
• Providing access to necessary systems and accounts when required

4. Payment Terms

4.1 Payment Structure

Unless otherwise agreed in writing, our standard payment terms are:

• Starter Projects: 50% advance, 50% upon completion
• Business Projects: 40% advance, 30% at milestone, 30% upon completion
• Enterprise Projects: Custom milestone-based payment schedule

4.2 Payment Methods

We accept payments via bank transfer, UPI, and online payment gateways (Razorpay/Stripe). Payment processing fees, if any, are borne by the client.

4.3 Late Payments

Invoices are due within 7 days of issue. Late payments may result in project suspension until payment is received. Interest at 2% per month may be charged on overdue amounts.

5. Intellectual Property Rights

5.1 Work Product Ownership

Upon full payment of all fees, the client will own the custom code and design elements created specifically for their project. However, this excludes:

• Third-party libraries, frameworks, and plugins
• Pre-existing code and templates
• CheMentor's proprietary tools and methodologies

5.2 Third-Party Licenses

Any third-party software, plugins, or services integrated into the project remain the property of their respective owners and are subject to their licensing terms.

5.3 Portfolio Rights

CheMentor reserves the right to showcase completed projects in our portfolio, marketing materials, and case studies unless otherwise agreed in writing.

6. Confidentiality

Both parties agree to maintain confidentiality of any proprietary or sensitive information shared during the course of the engagement. This obligation extends beyond the completion of the project.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that:

• Services will be performed in a professional manner
• Work will conform to the approved specifications
• Deliverables will be free from significant defects for 30 days post-delivery

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.

8. Limitation of Liability

To the maximum extent permitted by law, CheMentor Digital Solutions' total liability for any claims arising from or related to our services shall not exceed the total amount paid by the client for the specific project in question, or ₹50,000, whichever is less.

We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

9. Website Use

9.1 Acceptable Use

You agree to use our website only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use of the site. Prohibited activities include:

• Attempting to gain unauthorized access to our systems
• Transmitting viruses or malicious code
• Scraping or data mining without permission
• Impersonating others or misrepresenting your affiliation

9.2 Content Rights

All content on our website, including text, graphics, logos, images, and software, is the property of CheMentor Digital Solutions and is protected by copyright and other intellectual property laws.

10. Support and Maintenance

10.1 Post-Delivery Support

All projects include 30 days of free bug fixes and technical support after delivery. Extended support and maintenance packages are available separately.

10.2 Maintenance Services

Ongoing maintenance services, if purchased, include:

• Security updates and patches
• Bug fixes and error resolution
• Performance optimization
• Minor content updates

11. Hosting and Domain

Unless otherwise specified, hosting and domain registration services are separate from our development services. Clients are responsible for:

• Procuring suitable hosting services
• Domain registration and renewal
• SSL certificates (if not included in hosting)
• Ongoing hosting fees and maintenance

12. Termination

12.1 Termination by Client

Clients may terminate the agreement with 15 days written notice. Upon termination:

• Client remains liable for all fees for work completed
• All materials and deliverables completed up to termination will be provided
• Advance payments are non-refundable except as specified in our Refund Policy

12.2 Termination by CheMentor

We reserve the right to terminate services if:

• Payment obligations are not met
• Client fails to provide necessary materials or feedback
• Client engages in abusive or unethical behavior
• Client breaches these Terms

13. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including natural disasters, war, pandemic, government actions, or infrastructure failures.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

14.2 Arbitration

Any disputes arising from these Terms or our services shall first be attempted to be resolved through good faith negotiations. If resolution cannot be reached, disputes shall be resolved through binding arbitration in Guwahati, Assam, India.

14.3 Jurisdiction

The courts of Guwahati, Assam shall have exclusive jurisdiction over any disputes that cannot be resolved through arbitration.

15. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy. By using our services, you consent to such collection and use.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.

17. Entire Agreement

These Terms, together with any project-specific agreements, constitute the entire agreement between you and CheMentor Digital Solutions regarding our services and supersede all prior agreements.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
